Common representative of bondholders
Duties
The Common representative of bondholders is a special figure which is entrusted with the task of protecting the interests of that category in the relationships with the Company.
It can be chosen from outside of bondholders and may be a natural person or a legal person authorized to provide investment services or even a trust company. It remains in office for a period established by the Bondholders’ Meeting, not exceeding three financial years anyway, and it may be re-elected.
In particular, the Common representative of bondholders:
- implements the decisions of the assembly of the bondholders;
- assists the operations of the draw of the bonds;
- has the right to attend shareholders’ meetings;
- has the procedural representation of the bondholders, even in bankruptcy proceedings.
On June 12, 2012 Meeting of bondholders of the loan “10 ½ € 550 million Senior Secured Notes due 2017” of Seat PG S.p.A. (ISIN CODE: XS0482702395, XS0482720025) has named Dario Loiacono common representative of holders of these bonds for the years 2013-2014-2015.
On June 12, 2013 Meeting of bondholders of the loan “10 ½ € 200 million Senior Secured Notes due 2017” of Seat PG S.p.A. (CODES ISIN: XS0546483834, XS0546484303) has named Dario Loiacono common representative of holders of these bonds for the years 2013-2014-2015.
By decision filed on July 17, 2013, the Court of Turin appointed – pursuant to art. 2417, second paragraph, cod. civ. – the lawyer Annamaria Marcone, the Court of Turin, as the Representative of bondholders of the loan “10 ½ € 65,000,000 Senior Secured Notes due 2017” (CODES ISIN XS0825839045, XS0825838666).
